Client Responsibilities

Confidentiality

Both Vis Company and the client agree to maintain the confidentiality of any proprietary or sensitive information exchanged during the course of the engagement. Such information will not be disclosed to third parties without prior written consent, except as required by law. Confidentiality obligations remain in effect even after the termination of the engagement. Both parties understand that maintaining confidentiality is critical to the success of the engagement and to fostering trust. This includes protecting any trade secrets, financial data, or strategic plans shared throughout the process.

Data Protection and Privacy

Both Vis Company and the client agree to comply with all applicable data protection laws and regulations concerning the handling, processing, and storage of personal or sensitive data. Each party will implement appropriate technical and organizational measures to protect any data exchanged during the engagement. Vis Company will not disclose or use any client data for purposes other than the fulfillment of the agreed services unless explicitly authorized by the client. Both parties agree to promptly notify each other in the event of any data breach or security incident that may affect the confidentiality or integrity of data shared.

Compliance with Laws

Both Vis Company and the client agree to comply with all applicable local, state, and federal laws, regulations, and industry standards during the course of the engagement. This includes, but is not limited to, compliance with data protection laws, anti-corruption regulations, and any industry-specific compliance requirements. Any breach of relevant laws or regulations by either party may result in the termination of the agreement and may lead to legal consequences as determined by the jurisdiction specified in the service agreement.

Intellectual Property

Any intellectual property created during the consulting engagement, including reports, analyses, and strategic frameworks, will be the property of Vis Company unless otherwise stated in the service agreement. Clients are granted a non-exclusive license to use these materials solely for internal purposes. Any further distribution, modification, or use of the intellectual property beyond the agreed scope requires prior written consent from Vis Company. This ensures that the work produced is protected and can be used in the most effective way possible within the bounds of the engagement.

Liability and Disclaimers

Vis Company will make every reasonable effort to provide accurate, high-quality consulting services. However, we do not guarantee specific outcomes or results. Vis Company shall not be liable for any indirect, incidental, or consequential damages arising from the use of our services. Total liability is limited to the fees paid by the client for the specific project in question. Clients acknowledge that consulting services may involve a degree of uncertainty, and Vis Company cannot be held responsible for factors outside its control that may affect the project’s outcome. It is important for clients to manage their expectations accordingly and understand that our role is to provide strategic guidance, not guarantee specific results.

Non-Solicitation

During the course of the engagement and for a period of one year after the termination of the consulting agreement, the client agrees not to directly or indirectly solicit or hire any employee or consultant of Vis Company without prior written consent. This clause is intended to protect the business interests of Vis Company and prevent the disruption of their workforce. If the client violates this non-solicitation clause, they may be required to compensate Vis Company for any related incurred.

Amendments

Vis Company reserves the right to update these terms and conditions to reflect changes in business practices or legal requirements. Clients will be notified of significant updates through our website or direct communication. Continued use of our services following the update signifies acceptance of the revised terms. It is the responsibility of the client to review these terms periodically to stay informed of any changes. Any changes to the terms will apply only to future engagements and will not affect existing agreements unless mutually agreed upon in writing.
